Capcora has been exclusively commissioned to provide M&A advice in the context of the planned sale of project rights of SoWiTec Operation GmbH and other companies of the SOWITEC Group. The mandate was issued by the creditors’ committee at the suggestion of the insolvency administrator Dr. Holger Leichtle, partner at GÖRG. The portfolio includes wind project rights with a total capacity of around 32 GW in Germany, Argentina, Brazil, Colombia and Mexico. Around 330 MW are accounted for by projects in Germany. Capcora coordinates the corporate M&A process and takes over the central investor approach.
SOWITEC has been active as a project developer in the field of renewable energies since 1993 and has many years of experience in international wind and solar project development. The activities range from site identification to planning and approval to project structuring. The SOWITEC Group filed for insolvency in July 2026. The affected companies are SOWITEC group GmbH, SOWITEC international GmbH, SOWITEC operation GmbH and SOWITEC projekt GmbH.
Capcora is responsible, among other things, for the preparation of the transaction documents, the approach to investors, the management of the bidding process as well as the support of due diligence, commercial negotiations and contract talks. The aim of the structured process is to efficiently bundle investor communication and to support the insolvency administrator and the creditors’ committee in securing the value of the portfolio in the best possible way.
“The mandate combines a challenging insolvency situation with an extensive international portfolio in the field of renewable energies,” said Jochen Magerfleisch, Managing Partner at Capcora. “After several successfully completed transactions for the insolvency administration of the eno Group, this is another important distressed assets mandate for us. We will clearly structure the process, steer investor communication in a targeted manner and help to secure the value of the portfolio. SOWITEC has built up a strong project base in Germany and in several international markets. Accordingly, we are approaching the process with focus, speed and discipline.”
